Information Memorandum
This Information Memorandum (IM) is dated 13/07/2023 and was
issued by Commercial & Legal Securities Pty Ltd ACN 645 981 344
(Trustee, we or us), which is the Trustee of Brickworks Market Place
Fund Trust (the Fund). The purpose of this IM is to provide information
for prospective Investors to decide whether they wish to invest in
the Fund.
The Trustee has appointed FRP Capital PTY LTD (FRP Capital)
ACN 643 942 116 (Manager) as the investment manager of the
Fund. The manager is an authorised representative of Commercial
& Legal Securities Pty Ltd ACN 645 981 344, holder of AFSL
License #538004.
As the Recipient of this IM (Recipient), you should read this IM before
deciding whether to invest in the Trust. This IM sets out general
information about the Trust for the Recipient to consider in deciding
whether to invest in the Trust.
This IM is supplied to the Recipient on the conditions below
(Conditions). The Recipient expressly accepts and agrees with these
Conditions (the consideration for which is the provision of this IM to
the Recipient). If these conditions are not acceptable, the IM must be
returned immediately.

objectives or prospective returns of the Trust will be achieved.
Recipients must determine what reliance (if any) they should place
on such statements, views, projections or forecasts, and FRP Capital
accepts no responsibility. Recipients are strongly advised to conduct
their own due diligence.
The IM does not constitute an offer to sell or the solicitation of an
offer to buy any securities other than Units in the Trust or an offer or
solicitation in any circumstances in which such an offer or solicitation
would be unlawful.
An investment in the Trust does not represent a deposit with or a
liability of any member of FRP Capital. An investment in the Trust
is subject to investment risk, development risk and other risks,
including delays in repayment and loss of income or capital invested.
This IM does not purport to contain all the information that may
be required to evaluate any transaction concerning the Trust (or
would be necessary if it were a product disclosure statement).
Before investing, the Recipient should conduct its own independent
review, investigation, and analysis of the Trust and of the information
contained, or referred to, in this IM and, where necessary, consult
professional advisors.
FRP Capital does not guarantee the performance of the Fund, the
repayments of capital or any income or capital return; and nor do
FRP Capital or any of our representative directors, associates,
advisors, or related parties.
None of the Managers, the Trustee or their related entities and their
respective directors, officers, employees, advisers, associates or
representatives FRP Capital make any representation or warranty,

The Manager has not authorised any person to give any information
nor make any representation in connection with the Trust or this
invitation, which is not contained in this IM and any such information
or representation not contained in it must not be relied upon as having
been authorised by or on behalf of FRP Capital.
FRP Capital reserves the right to evaluate any offers to invest in the
Trust and reject any or all offers submitted without giving reasons for
rejection. FRP Capital is not liable to compensate the Recipient or any
intending acquirer for any costs or expenses incurred in reviewing
investigating or analysing any information concerning the Trust, in
making an offer or otherwise.
The investment in the Trust is limited to ‘Wholesale Investors’. The
information in this IM is general only. In preparing this IM, FRP Capital
did not consider any person’s needs, objectives or financial situation.
Before acting on the information in this IM, you should consider
whether it is appropriate. Recipients should seek professional
investment, legal and taxation advice on whether an investment in the
Trust is suitable for them regarding their personal objectives, financial
situation and needs. This IM and its contents are provided personally
to the Recipient as a matter of interest only. It does not amount to a
recommendation either expressly or by implication concerning any
investment in the Trust.
This IM and its contents are:

to whom FRP Capital has provided the IM;

strictly confidential;

not to be disclosed by any Recipient to any other person or entity,
whether an associate or related corporation of the Recipient,
other than an employee or professional adviser to the Recipient
and then only for the sole purpose of the Recipient considering
and taking advice as to whether it will apply to Units in the
Trust; and

not to be reproduced, either in whole or in any part or parts,
without FRP Capital’s prior written consent and, if such written
permission is given only under that consent.
Recipients acknowledge that the Trust will invest in property which
is a long-term and illiquid nature.
Except insofar as liability under any law that cannot be excluded,
the FRP Capital takes no responsibility for the information contained
in this IM or in any other way for errors or omissions (including
responsibility to any persons because of negligence).
